使用 NeuroRest 應用程式與網站時的權利義務。

歡迎使用 NeuroRest（以下簡稱「NeuroRest」、「我們」）。請於使用 NeuroRest 行動應用程式、網站或相關服務（合稱「本服務」）前,仔細閱讀本服務條款（以下簡稱「本條款」）。一旦您下載、安裝、註冊帳號或以任何方式使用本服務,即表示您已閱讀、了解並同意受本條款拘束。如不同意,請勿使用本服務。

1.使用授權

在您遵守本條款的前提下,我們授予您一項有限、非專屬、不可轉讓、可撤回的授權,允許您將本服務用於個人、非商業目的。本授權不包含對本服務原始碼、商標、品牌標誌或其他智慧財產的任何權利。

未經書面同意,您不得將本服務用於商業、轉售、改作或進行任何形式的逆向工程。

2.帳號與安全

部分功能(例如雲端紀錄、跨裝置同步)需要建立 NeuroRest 帳號。註冊時您應提供正確、完整的資訊,並保持資訊更新。您須對帳號活動及密碼安全負責。若發現未經授權的存取,請立即透過 ntu.neurorest@gmail.com 通知我們。

您必須年滿 13 歲方可使用本服務。若您所在地區法定同意年齡較高,則以該年齡為準。13 歲以下的兒童不得建立帳號。

3.禁止用途

使用本服務時,您同意不得:

  • 違反任何適用法律、規範或第三方權利。
  • 嘗試入侵、干擾、過度負載本服務或其他使用者的存取權。
  • 以爬蟲、抓取、自動化方式存取本服務,或繞過任何技術保護措施。
  • 反組譯、解構、複製、修改、衍生本服務或其任何部分。
  • 將本服務用於可能造成自身或他人健康危害的場景(例如駕駛、操作機械時播放助眠音場)。
  • 冒用他人身分,或散播任何違法、騷擾、色情、詐騙或惡意軟體相關內容。

4.付費內容、退款與訂閱

NeuroRest 提供免費內容與 NeuroRest Premium 自動續訂訂閱兩種使用方式。免費內容不需註冊即可使用。

4.1 NeuroRest Premium 訂閱方案

  • 產品名稱:NeuroRest Premium
  • 訂閱長度:1 個月(自動續訂)
  • 訂閱價格:NT$ 99 / 月(實際價格依您所在區域與 Apple 顯示為準)
  • 免費試用:首次訂閱可享 1 個月免費試用,試用期內可隨時取消
  • 解鎖內容:完整音樂庫,Apple Watch 同步解鎖

4.2 自動續訂條款

  • 付款將於確認購買時自動向您的 Apple ID 收取。
  • 訂閱會自動續訂,除非您於當期結束前至少 24 小時關閉自動續訂。
  • 續訂費用會在當期結束前 24 小時內向您的帳戶收取。
  • 您可以在「iPhone 設定 → Apple ID → 訂閱項目」中管理或關閉自動續訂。
  • 試用期內取消訂閱,剩餘的試用時間將會失效。
  • 取消訂閱後仍可使用至當期結束。

4.3 退款

所有 App Store 內購買均由 Apple 處理。退款請依 Apple 提供的管道辦理:support.apple.com/HT204084。NeuroRest 本身不直接處理退款。Apple 標準授權合約(EULA)及 NeuroRest 自訂 EULA 亦適用於透過 App Store 下載的本 App。

5.智慧財產權

本服務、其原始碼、視覺設計、音訊內容、雙耳節拍音場、商標、字型與所有相關內容,均由 NeuroRest 或其授權方擁有,並受著作權、商標、營業秘密及其他智慧財產法律保護。除本條款明示授予者外,並未授予您其他權利。

您透過本服務提供的回饋、建議或想法,我們得自由地使用、修改與商業化,且毋須對您負擔任何義務。

6.第三方整合服務

本服務整合 Apple 健康(HealthKit)、Apple Watch、Cloudflare 雲端服務等第三方平台。您使用這些整合功能時,須一併遵守該等第三方的條款與隱私政策。NeuroRest 不對第三方的可用性、政策或內容負責。

7.醫療免責聲明

本服務不是醫療裝置,亦非醫療診斷、治療或預防之替代方案。

NeuroRest 為一款協助放鬆與促進入睡的健康類消費性產品,並未取得任何國家或地區衛生主管機關核准作為醫療用途。本服務所提供之雙耳節拍、聲景、睡眠數據與分析,僅供參考,不構成診斷、處方或醫療建議。

若您有任何健康疑慮,或患有失眠、睡眠呼吸中止症、憂鬱症、焦慮症、癲癇等疾病,請務必諮詢合格醫療專業人員。如使用過程中出現任何不適,請立即停止使用並就醫。

8.保固免責

本服務「依現狀」與「現有」狀態提供,我們不提供任何明示或默示之保證,包括但不限於商品適售性、特定目的之適用性、不侵害他人權利,或本服務將不間斷、無錯誤、安全。

我們不保證本服務所提供的睡眠分析、頻率引導或任何資訊的準確性,亦不保證其能達到任何特定的助眠或健康效果。

9.責任限制

於法律所允許之最大範圍內,NeuroRest 及其董事、員工、夥伴與授權方不承擔任何因使用或無法使用本服務所造成之間接、附隨、特殊、衍生或懲罰性損害,包括但不限於利潤損失、資料遺失、健康損害或其他無形損失。

對於可歸責於 NeuroRest 之直接損害,我們的全部責任以您前 12 個月內為使用本服務所支付的費用為限,若無付費紀錄,則以新台幣 1,000 元為上限。

10.賠償

因您違反本條款、違反法律、或侵害任何第三方權利,致 NeuroRest 受有損害(含合理之律師費),您同意賠償並使我們免於該等損害。

11.條款變更

我們得隨時修訂本條款。重大變更將透過 App 內通知或電子郵件提前告知。修訂後條款公告於本網頁,並標示新的「最後更新」日期。您於修訂生效後繼續使用本服務,即視為同意該修訂。若不同意,請停止使用並刪除帳號。

12.終止

我們得於您違反本條款時,隨時暫停或終止您的帳號或對本服務的存取,毋須事先通知。您得隨時透過 App 設定中的「永久刪除我的帳號」終止與我們的關係。終止後,本條款中依其性質應於終止後繼續存續者(例如智慧財產權、保固免責、責任限制),仍繼續有效。

13.準據法與管轄

本條款依中華民國法律(臺灣)解釋與適用,並排除其涉外法律適用衝突規則。因本條款引發之任何爭議,雙方同意以臺灣臺北地方法院為第一審管轄法院。

14.其他

本條款連同 隱私權政策 與 安全須知,構成您與 NeuroRest 間之完整協議。若本條款任一條款被認定無效或無法執行,其餘條款仍繼續有效。我們未行使本條款之任何權利,不構成放棄該權利。您不得將本條款之權利義務轉讓予第三方,但我們得自由轉讓予關係企業或受讓人。

Your rights and responsibilities when using NeuroRest.

Welcome to NeuroRest ("NeuroRest," "we," "our"). Please read these Terms of Service ("Terms") carefully before using the NeuroRest mobile application, website, or related services (collectively, the "Service"). By downloading, installing, registering an account, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

1.Licence to use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes. This licence does not grant any right to source code, trademarks, brand assets, or other intellectual property of NeuroRest.

You may not use the Service for commercial purposes, resell, modify, or reverse-engineer it without our prior written consent.

2.Account & security

Some features (e.g. cloud history, multi-device sync) require a NeuroRest account. You agree to provide accurate, complete information at registration and keep it current. You are responsible for activity under your account and for keeping your password secure. Notify us immediately at ntu.neurorest@gmail.com of any unauthorised access.

You must be at least 13 years old (or the minimum age of consent in your jurisdiction, if higher) to use the Service. Children under 13 may not create an account.

3.Prohibited use

When using the Service, you agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Attempt to hack, interfere with, or overload the Service or other users' access.
  • Crawl, scrape, or use automated means to access the Service, or circumvent technical protections.
  • Decompile, reverse-engineer, copy, modify, or create derivative works of the Service.
  • Use the Service in situations that may endanger you or others (e.g. while driving or operating machinery).
  • Impersonate another person, or distribute illegal, harassing, sexual, fraudulent, or malware-related content.

4.Paid content, refunds & subscriptions

NeuroRest offers both free content and a NeuroRest Premium auto-renewable subscription. Free content is available without registration.

4.1 NeuroRest Premium subscription

  • Product name: NeuroRest Premium
  • Length: 1 month (auto-renewing)
  • Price: NT$ 99 per month (the actual price shown by Apple in your region applies)
  • Free trial: First-time subscribers receive a 1-month free trial that can be cancelled at any time
  • Unlocks: Full music library, synced to Apple Watch

4.2 Auto-renewal terms

  • Payment will be charged to your Apple ID account at the confirmation of purchase.
  • Your subscription automatically renews unless auto-renewal is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • You can manage and cancel your subscriptions by going to Settings → Apple ID → Subscriptions on your iPhone.
  • Any unused portion of a free trial period will be forfeited when you purchase a subscription.
  • Cancelling does not end the current period — you keep access until the period ends.

4.3 Refunds

All App Store purchases are handled by Apple. Refund requests are handled by Apple: support.apple.com/HT204084. NeuroRest does not directly process refunds. The standard Apple EULA and NeuroRest's custom EULA also apply to this App when downloaded via the App Store.

5.Intellectual property

The Service, its source code, visual design, audio content, binaural soundscapes, trademarks, fonts, and all related content are owned by NeuroRest or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. No rights are granted other than those expressly stated in these Terms.

Any feedback, suggestions, or ideas you submit may be used, modified, and commercialised by us without obligation to you.

6.Third-party integrations

The Service integrates with Apple Health (HealthKit), Apple Watch, Cloudflare cloud services, and other third-party platforms. Your use of these integrations is also subject to their terms and privacy policies. NeuroRest is not responsible for third-party availability, policies, or content.

7.Medical disclaimer

The Service is not a medical device and is not a substitute for medical diagnosis, treatment, or prevention.

NeuroRest is a consumer wellness product designed to help with relaxation and sleep onset. It has not been approved by any health authority for medical purposes. Binaural beats, soundscapes, sleep data, and analyses are for informational purposes only and do not constitute diagnosis, prescription, or medical advice.

Always consult a qualified healthcare professional for any health concerns or if you have insomnia, sleep apnoea, depression, anxiety, epilepsy, or other conditions. Stop using the Service immediately and seek medical care if you experience any adverse effects.

8.Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure.

We do not warrant the accuracy of any sleep analysis, frequency guidance, or information provided, nor that the Service will achieve any particular sleep or health outcome.

9.Limitation of liability

To the maximum extent permitted by law, NeuroRest and its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service, including loss of profits, data, health, or other intangible losses.

Our total liability for direct damages attributable to NeuroRest is limited to the amounts you paid us during the 12 months preceding the claim, or NT$1,000 if no payment was made.

10.Indemnity

You agree to indemnify and hold NeuroRest harmless from any losses (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your infringement of any third-party right.

11.Changes to these Terms

We may modify these Terms at any time. Material changes will be announced via in-app notice or email beforehand. Updated Terms will be posted on this page with a new "Last updated" date. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account.

12.Termination

We may suspend or terminate your account or access to the Service at any time, without prior notice, if you violate these Terms. You may terminate your relationship with us at any time via "Permanently delete my account" in app settings. Sections that by nature should survive termination (e.g. intellectual property, disclaimer of warranties, limitation of liability) shall remain in effect.

13.Governing law & venue

These Terms are governed by the laws of the Republic of China (Taiwan), excluding its conflict-of-law rules. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the Taipei District Court, Taiwan, as the court of first instance.

14.Miscellaneous

These Terms, together with our Privacy Policy and Safety notice, constitute the entire agreement between you and NeuroRest. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not waive that right. You may not assign your rights under these Terms; we may assign freely to affiliates or successors.
